1. Copyright Ownership

1.1 Song Vitals Platform

The Song Vitals platform, including but not limited to its software, website design, user interface, graphics, logos, text, code, algorithms, and all other content created by PANARCHIA LLC (collectively, the "Platform Content"), is owned by PANARCHIA LLC and protected by United States and international copyright laws.

1.2 Trademarks

"Song Vitals," the Song Vitals logo, and other marks used on our platform are trademarks or registered trademarks of PANARCHIA LLC. You may not use these marks without our prior written permission.

1.3 Your Content

You retain all copyright and intellectual property rights to the content you upload to Song Vitals ("User Content"), including your music, lyrics, images, videos, and other creative works.

2. License Grants

2.1 License to Use the Platform

Subject to your compliance with our Terms of Service, PANARCHIA LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Song Vitals platform for your personal or internal business purposes.

You may NOT:

• Copy, modify, or create derivative works of the Platform Content
• Reverse engineer, decompile, or disassemble any part of the platform
• Remove or alter any copyright notices or proprietary markings
• Use the platform to create a competing service
• Sell, rent, lease, or sublicense access to the platform

2.2 License from You to Us

By uploading User Content to Song Vitals, you grant PANARCHIA LLC a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Store, process, and analyze your User Content to provide the Service
• Create analysis reports and derivative works based on your User Content
• Use your User Content for internal research and development to improve our algorithms
• Display your User Content back to you within the Service

Important Limitation: We do NOT use your User Content for AI content generation, training third-party AI models, or sharing with third parties for their commercial purposes. Your creative work remains yours.

2.3 Analysis Reports

The analysis reports generated by Song Vitals are derivative works created by our proprietary algorithms based on your User Content. You receive a license to use these reports for your personal or business purposes. PANARCHIA LLC retains ownership of the underlying algorithms and methodologies.

3. User Representations and Warranties

By uploading User Content to Song Vitals, you represent and warrant that:

• You own all rights to the User Content or have obtained all necessary permissions and licenses
• Your User Content does not infringe upon any third-party copyrights, trademarks, patents, or other intellectual property rights
• Your User Content does not violate any person's rights of privacy or publicity
• You have the authority to grant the licenses described in this Copyright Notice
• Your User Content complies with all applicable laws and regulations

4. Copyright Infringement Policy (DMCA)

4.1 Our Commitment

PANARCHIA LLC respects the intellectual property rights of others and expects our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid notices of alleged copyright infringement.

4.2 DMCA Takedown Procedure

If you believe that content on Song Vitals infringes your copyright, please send a written notice to our designated Copyright Agent containing the following information:

1. Identification of the copyrighted work: A description of the copyrighted work that you claim has been infringed, or if multiple works, a representative list
2. Identification of the infringing material: A description of where the material that you claim is infringing is located on the Service (please provide URLs or other specific location information)
3. Contact information: Your name, address, telephone number, and email address
4. Good faith statement: A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
5. Accuracy statement: A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf
6. Signature: Your physical or electronic signature

4.3 Where to Send DMCA Notices

Note: DMCA notices should only be sent to the Copyright Agent. Other inquiries will not receive a response. Misrepresentations in a DMCA notice may result in legal liability.

4.4 Our Response to DMCA Notices

Upon receiving a valid DMCA notice, we will:

• Remove or disable access to the allegedly infringing material
• Notify the user who uploaded the material
• Provide the user with a copy of the DMCA notice
• Take appropriate action against repeat infringers, including account termination

4.5 Counter-Notification Procedure

If you believe that your content was removed in error or that you have the right to use the material, you may send a counter-notification to our Copyright Agent containing:

1. Your name, address, telephone number, and email address
2. Identification of the material that was removed and its location before removal
3. A statement under penalty of perjury that you have a good faith belief that the material was removed as a result of mistake or misidentification
4. A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or Delaware if outside the U.S.)
5. A statement that you will accept service of process from the person who filed the original DMCA notice
6. Your physical or electronic signature

4.6 Repeat Infringer Policy

We maintain a policy of terminating accounts of users who are repeat copyright infringers. Users who receive multiple valid DMCA notices may have their accounts permanently suspended.

5. Other Intellectual Property Violations

5.1 Trademark Infringement

If you believe that content on Song Vitals infringes your trademark rights, please contact us at legal@songvitals.com with:

• Identification of your trademark (registration number if applicable)
• Description of how it is being infringed
• Location of the infringing content
• Your contact information
• A statement of good faith belief and accuracy

5.2 Other IP Claims

6. Permitted Uses

6.1 Analysis Reports

You may use the analysis reports generated by Song Vitals for:

• Your personal music development and improvement
• Internal business decision-making
• Sharing with collaborators, team members, or advisors
• Presentations to labels, managers, or investors

6.2 Restrictions on Report Use

You may NOT:

• Resell or redistribute Song Vitals reports
• Use reports to create a competing service
• Extract or reverse-engineer our algorithms or methodologies
• Remove Song Vitals branding from reports
• Publicly publish reports in a way that reveals our proprietary analysis methods

6.3 Attribution

When sharing or presenting Song Vitals reports, you should maintain attribution to Song Vitals and PANARCHIA LLC. Removing our branding or claiming the analysis as your own work is prohibited.

7. API and Developer Terms

If we offer an API or developer tools in the future, separate terms will govern their use. Unauthorized access to our systems or APIs is strictly prohibited.

8. Open Source and Third-Party Components

Song Vitals may incorporate open-source software and third-party components. These components are governed by their respective licenses, which are available upon request. Our use of open-source software does not affect the proprietary nature of our platform or algorithms.

9. Enforcement

PANARCHIA LLC actively protects its intellectual property rights. Unauthorized use of our platform, content, or trademarks may result in:

• Immediate account termination
• Legal action for copyright or trademark infringement
• Claims for damages and attorney's fees
• Injunctive relief

10. International Copyright

Song Vitals is protected by U.S. copyright laws and international treaties, including the Berne Convention. Our copyright protections extend to all countries that are signatories to these agreements.

11. Changes to This Copyright Notice

We may update this Copyright Notice from time to time. Material changes will be posted on our website with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the updated notice.
