1. Acceptance of Terms

Welcome to Song Vitals, a service provided by PANARCHIA LLC ("Company," "we," "us," or "our"). By accessing or using the Song Vitals platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Description of Service

Song Vitals is an analytics platform that provides music creators with diagnostic insights about their music, brand identity, content strategy, and market positioning. Our Service analyzes:

• Audio files (MP3, WAV, and other supported formats)
• Lyrics and written content
• Public social media profiles and content
• Images, videos, and other media you upload
• Annotations and metadata you provide

The Service generates comprehensive reports covering audio quality, lyrical analysis, brand identity, content strategy, community building potential, and monetization readiness.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old to use the Service. If you are between 13 and 18 years old, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Credit System and Pricing

4.1 Credit-Based Model

Song Vitals operates on a credit-based system where 1 credit = 1 analysis module. Credits may be purchased individually, in bundles, or through subscription plans.

4.2 New User Credits

New users receive 3 free credits upon registration. These credits are non-transferable and expire 12 months from the date of account creation if unused.

4.3 Credit Expiration

Purchased credits do not expire. Subscription credits roll over month-to-month as long as the subscription remains active but are forfeited upon cancellation.

4.4 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect credits already purchased or active subscriptions until renewal.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you upload to the Service ("User Content"), including audio files, lyrics, images, videos, and other materials.

5.2 License to Use

By uploading User Content, you grant PANARCHIA LLC a worldwide, non-exclusive, royalty-free license to:

• Store, process, and analyze your User Content to provide the Service
• Use your User Content for internal research and development to improve our algorithms and services
• Create derivative works (such as analysis reports and visualizations) based on your User Content

Important: We do NOT use your User Content for AI content generation or training third-party AI models. We do NOT share your User Content with third parties for their commercial purposes.

5.3 Representations and Warranties

You represent and warrant that:

• You own or have the necessary rights to upload and use all User Content
• Your User Content does not infringe upon any third-party intellectual property rights
• Your User Content does not violate any applicable laws or regulations
• Your User Content does not contain malware, viruses, or other harmful code

5.4 Prohibited Content

You may not upload User Content that:

• Infringes upon intellectual property rights of others
• Contains hate speech, harassment, or discriminatory content
• Promotes violence, illegal activities, or self-harm
• Contains sexually explicit material involving minors
• Violates privacy rights or contains unauthorized personal information
• Constitutes spam, fraud, or deceptive practices

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with others
• Resell or redistribute the Service or reports without authorization

7. Anti-Spam and Quality Standards

We are committed to maintaining high-quality standards and preventing abuse of our platform. We employ both automated and human review processes to detect and prevent:

• Spam submissions and low-quality content
• AI-generated content submitted as original work without disclosure
• Bulk automated submissions designed to game or abuse the system
• Fraudulent or deceptive use of the Service

We reserve the right to reject, remove, or refuse to process any submissions that violate our quality standards or appear to be spam or abuse, with or without notice.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee of Results

We do not guarantee that the Service will be uninterrupted, error-free, or that results will be accurate, complete, or reliable. Analysis results are algorithmic assessments and should not be considered professional advice.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANARCHIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless PANARCHIA LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

10.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. We may delete your User Content and account data in accordance with our data retention policies.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and PANARCHIA LLC individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, Subscription & Refund Policy, and any other legal notices published by us, constitute the entire agreement between you and PANARCHIA LLC.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
